Terms of Service

The agreement for using TLDP. Written to be read rather than survived — the parts most people need are what the platform does and does not do (section 3), and how money works (section 5).

1.Who these terms are between

These terms are an agreement between you — the business or individual that registers an account — and TYBRITE TECHNOLOGIES LIMITED, trading as Tybrite Labs.

TLDP is built for businesses and the people who work with them: merchants who ship, couriers and fleets who carry, riders who deliver, and developers who integrate. When you accept these terms you confirm you have the authority to do so for whoever you are acting for.

Everyone you invite into your account is covered by these terms, and what they do on the account is your responsibility.

2.Your account

  • Give accurate registration details and keep them current. Verification may be required before a courier or fleet can carry live deliveries.
  • Keep your sign-in credentials and API keys secret. A secret key is equivalent to your account — anyone holding it can act as you.
  • Tell us promptly at support@tybritelabs.com if you believe an account or a key has been compromised, so it can be revoked.
  • You are responsible for what your team and your integration do on your account.

We store API keys as one-way hashes, so a lost key can be revoked and replaced but never recovered.

3.What TLDP does, and what it does not

TLDP connects businesses that need to ship with couriers and riders who deliver. We provide the platform: rate comparison, order and shipment management, dispatch, tracking, proof of delivery, returns handling, and the settlement of earnings.

We are not the carrier. The delivery itself is performed by the courier or rider you selected, under their own terms. They decide their prices, their service areas and their service levels. We make those visible and comparable, and we hold the record of what was agreed — but the transport contract for a parcel is between the sender and the carrier.

Performance tiers shown against a courier are calculated from that courier's own delivery record on the platform. They describe past performance and are not a guarantee of a future delivery.

4.Your data

Your business data is yours. We use it to run the service you asked for, and for nothing else. We do not sell it, and we do not use one customer's data to advantage another.

Where you send us the details of the people you deliver to, you confirm you are entitled to share them for that purpose, and we handle them on your instructions. How we treat personal information is set out in the Privacy Policy.

You can export your data while your account is open. Delivery and financial records are kept as business records for the periods described in the Privacy Policy.

5.Money — and what we never touch

TLDP does not custody funds. We do not hold your money, your customers' money, or a courier's earnings in an account of ours waiting to be released. Payment moves between the parties through regulated payment providers. This is a deliberate design choice and it shapes everything below.

  • Merchants choose a plan. A plan covers the use of the platform. The delivery price itself is the courier's, quoted up front, and paid to them.
  • Couriers and fleets pay nothing up front. We invoice a percentage of what you earned on the platform, monthly in arrears, shown on your dashboard. Nothing is deducted from an individual delivery.
  • Riders are paid their share on confirmed delivery, to the bank or mobile money account they nominate.

Current prices and plan limits are on the pricing page. If we change them, we will give notice before the change applies to you, and you may cancel rather than accept it. Taxes are your responsibility where the law puts them on you.

An unpaid invoice may lead us to suspend an account after we have asked you about it.

6.Cancelling

You can close your account at any time. A plan runs to the end of the period you have paid for, and we do not pro-rate a part-month.

Deliveries already in flight must be allowed to complete, and amounts already earned by a courier or rider remain payable. Export what you need before you close — after closure we retain only what the Privacy Policy and the law require.

7.Acceptable use

Some things are not allowed, and they are the obvious ones.

  • Shipping anything you may not lawfully ship, or that the carrier has told you it will not carry.
  • Misdeclaring what is in a parcel, or its weight or value, whether to change a price or to get it carried.
  • Using the platform to defraud anyone, launder money, or evade sanctions.
  • Interfering with the platform — probing it, overwhelming it, or working around its rate limits and access controls.
  • Reselling access to the API outside the operator arrangements we offer.
  • Harassing or endangering a rider, a courier's staff, or a recipient.

We may suspend an account immediately where there is a risk to people, to money, or to the platform, and we will tell you why.

8.Deliveries, claims and returns

A delivery is complete when proof of delivery is captured — a photograph, a one-time code, or a signature — and that record is kept against the shipment.

Where a parcel is lost or damaged, the claim lies against the carrier who held it, under their terms. We provide the dispute process, the evidence we hold, and the tracking record, and we will act on the outcome — including reversing a payout where a dispute is resolved that way.

Returns follow the policy the merchant sets: which reasons are accepted, within what window, what resolutions are offered, and who bears the cost for each reason. That policy is the merchant's, and it is shown to their customer.

9.Availability

We work to keep TLDP available and fast, but no online service is available every minute. We carry out maintenance, and things occasionally break.

A sandbox mode is provided so you can build and test against isolated data without moving money or creating a real delivery. Sandbox data is deleted on a rolling schedule and is not a place to keep anything you need.

The API is versioned. We add to it without warning, but we do not remove or change something you depend on without notice and a migration path.

10.Services you connect

You may connect TLDP to other services — a storefront, a payment provider, your own systems. Those services have their own terms and their own privacy practices, and we are not responsible for what they do. When you authorise a connection you are instructing us to exchange the data that connection needs.

11.Our intellectual property

The platform, the API, the SDK, the documentation, the name and the branding are ours. You get the right to use them to run your business on TLDP, for as long as your account is open. You may not copy the platform, reverse-engineer it, or use our branding to suggest an endorsement we have not given. Feedback you send us we may use freely, without owing you anything for it.

12.Liability

Nothing here limits liability that cannot lawfully be limited — including for death or personal injury caused by negligence, or for fraud.

Subject to that: the platform is provided as it is; we are not liable for indirect or consequential loss, lost profits, or lost data; and our total liability to you in any twelve-month period is limited to the fees you paid us in that period.

Because we are not the carrier, loss of or damage to a parcel is a matter between the sender and the carrier who held it — see section 8.

13.Governing law and disputes

These terms are governed by the laws of the Republic of Kenya, where TYBRITE TECHNOLOGIES LIMITED is registered, and the courts of Kenya have jurisdiction over any dispute — without affecting any right you have under the mandatory law of the country you are in.

Talk to us first. Most problems are a misunderstanding or a bug, and they are solved faster by email than by lawyers. Write to legal@tybritelabs.com and we will work with you in good faith before either of us starts proceedings.

14.Changes to these terms

We update these terms when the product changes or the law does. The effective date at the top tells you which version you are reading. For a change that materially affects you we will give notice before it applies, and continuing to use TLDP after that is how you accept it. If you would rather not, you can close your account.
